NEVER ALONE: Official Rules

1. NO PURCHASE NECESSARY TO ENTER OR EARN IN-GAME REWARDS IN NEVER ALONE ("NEVER ALONE"). Entry into Never Alone constitutes your acceptance of these Official Rules.

2. PROMOTIONAL TERMS INCORPORATED: These Official Rules incorporate all of the Star Atlas Promotional Terms and Conditions (" Promotional Terms"), located at https://staratlas.com/promotional-terms-and-conditions. The terms of these Official Rules govern in the event of a conflict between these Official Rules and the Promotional Terms.

3. ELIGIBILITY: Open to all persons of legal age and with a Solana wallet address. Minors under the age of 18 may not participate. Void where prohibited.

4. TIME PERIOD: Never Alone will start on May 11, 2023 and will run until the completion of all missions therein, which missions shall be specified on the Never Alone game website and detailed further in the Medium article, Never Alone: A Shared Social Adventure Across the Star Atlas Galaxy.

5. HOW TO ENTER: To enter, follow the instructions on the Never Alone website to begin participating in and playing Never Alone. No purchase necessary.

6. RULES AND IN-GAME REWARDS: In Never Alone, the player will have the opportunity to engage in the missions specified on the Never Alone website and detailed further in the Medium article. By completing each mission within the required timeframe, players will earn a certain amount of XP which can be used, on specified dates, to claim small, medium, or large Memories, which in turn can be used, on specified dates, to claim other in-game rewards, as specified on the Never Alone website and detailed further in the Medium article. Memories and other in-game rewards are delivered from a smart contract and via blockchain processes to the Solana wallet used to enter Never Alone. In-game rewards have a limited supply and are available only while supplies last. Players acknowledge that Sponsor reserves the right to, at its discretion, reschedule Never Alone entry and/or end dates, modify the entry procedures, or cancel Never Alone, with or without prior notice or consent. In-game rewards are not redeemable for cash. Substitution or transfer of in-game rewards is not permitted. Sponsor reserves the right to substitute in-game rewards of equal or greater value.

7. GENERAL CONDITIONS: Limit one entry per person. Players entering with multiple accounts and/or multiple Solana wallet addresses will be disqualified. Entry constitutes permission (except where prohibited by law) to use the player's Solana wallet address for future advertising and publicity in any and all media now or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission. The player hereby grants to Sponsor a worldwide, irrevocable, perpetual, royalty-free, transferable license to use, reproduce, distribute, create derivative works of, publicly perform, and publicly display any materials created by the player relating to Never Alone, including social media posts, for any purpose in any and all media now known and later devised. Sponsor and its officers, directors, agents, representatives, and employees (collectively, " Released Parties") are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete, or delayed entries, all of which will be void.Released Parties are also not responsible for problems related to technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a player's ability to participate in Never Alone or any mission therein. Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human, or otherwise relating to or in connection with Never Alone, including, without limitation, errors or malfunctions which may occur in connection with the administration of Never Alone, the processing of entries, the announcement of in-game rewards, or in any Never Alone-related materials. Mass entries generated by a script, macro, or use of automated devices will be disqualified. Sponsor reserves the right to modify, suspend, or terminate Never Alone in the event it becomes technically impaired, and to cancel or suspend Never Alone in its entirety should tampering, unauthorized intervention, fraud, technical failures, or other causes corrupt the administration, security, fairness, integrity, or proper play of Never Alone. Sponsor reserves the right at its sole discretion to disqualify any individual (and void his/her entries) it finds to be tampering with the entry process or the operation of Never Alone or the Never Alone website, intending to annoy, abuse, threaten, or harass any other player, Sponsor, or any of its representatives or to otherwise be acting in violation of these Official Rules. CAUTION: Any attempt by a player to deliberately damage any website or undermine the legitimate operations of Never Alone is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages from any such player to the fullest extent permitted by the law and to disqualify such player from Never Alone.

8. MISCELLANEOUS CONDITIONS: Failure to comply with these Official Rules may result in disqualification from Never Alone. Sponsor reserves the right to permanently disqualify any person it believes has intentionally violated these Official Rules. Never Alone is subject to all federal, state, and local laws and regulations. Void where prohibited by law.

9. RELEASES: Information submitted with an entry is subject to the Star Atlas Privacy Policy located at https://staratlas.com/privacy-policy. Please review the Privacy Policy.

10. ARBITRATION & CHOICE OF LAW: Except where prohibited by law, as a condition of participating in Never Alone, the player agrees that (1) any and all disputes and causes of action arising out of or connected with Never Alone, or any in-game rewards, shall be resolved individually, without resort to any form of class action lawsuit, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the player; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will the player be permitted to obtain awards for, and the player hereby waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys' fees, and the player further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of players and Sponsor in connection with Never Alone, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA without regard to New York choice of law rules.
